By accessing or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.
By creating an account or using the Service, you represent that you are at least 18 years old, have the legal capacity to enter into these Terms, and are acting on behalf of yourself or an organisation you are authorised to represent. If you are accepting on behalf of an organisation, references to "you" include that organisation.
Gradaris provides an AI governance and compliance platform that enables organisations to register, assess, score, and monitor AI agents against regulatory frameworks including the EU AI Act. Features include assessment runs, governance scoring, cryptographic hash verification, reporting, and agent trust management.
You must provide accurate, current, and complete information when registering. You are responsible for maintaining the confidentiality of your API keys and login credentials and for all activity that occurs under your account. Certain features require a paid subscription. Fees are charged in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as expressly stated in your order. We reserve the right to change pricing with 30 days' notice. Failure to pay may result in suspension or termination of your account.
The Service, including all software, algorithms, scoring frameworks, documentation, and branding, is owned by Gradaris and protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited licence to use it as described herein. You retain ownership of all data you submit to the Service.
By submitting data to the Service you grant Gradaris a limited, non-exclusive licence to process that data solely to provide and improve the Service. We will handle your data in accordance with our Privacy Policy. We implement industry-standard security measures including encryption at rest and in transit, role-based access control, and row-level security.
Each party agrees to keep the other's confidential information confidential and not to disclose it to third parties without prior written consent, except as required by law. Confidential information does not include information that is publicly available through no fault of the receiving party.
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Gradaris does not warrant that the Service will be uninterrupted, error-free, or that any governance score constitutes legal advice or a guarantee of regulatory compliance.
To the maximum extent permitted by law, Gradaris shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, even if advised of the possibility of such damages. Our total cumulative liability to you shall not exceed the amounts paid by you to Gradaris in the 12 months preceding the claim.
You agree to indemnify, defend, and hold harmless Gradaris and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Service, violation of these Terms, or infringement of any third-party rights.
Either party may terminate these Terms at any time. We may suspend or terminate your access immediately if you breach these Terms or if we reasonably believe continued access poses a security or legal risk. Upon termination, your right to use the Service ceases and we may delete your data in accordance with our data retention policy.
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware. If you are located in the European Union, mandatory consumer protection laws of your country of residence may also apply.
We may update these Terms from time to time. We will notify you of material changes by email or by displaying a notice in the Service at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
